Metrica

Terms of Use

These terms govern use of this website and of the Metrica application. They are written to be read, not to be survived — if a sentence here is unclear, ask us and we will explain it.

Who we are

Metrica is a product of Arcana Noctis (“we”, “us”). You can reach us at andrei@metricahq.com with “Metrica terms” in the subject line.

Metrica is a business tool. By using it you confirm that you are acting for an organisation and not as a consumer, and that you may accept these terms for that organisation.

If you have a contract with us

A deployment is normally provided under a separate written agreement. Where that agreement covers something these terms also cover, the agreement prevails. These terms fill the gaps: use of this website, access to the application, and anything the agreement does not address.

What Metrica is — and what it is not

Your account

Acceptable use

You agree not to:

We may suspend access where we reasonably believe one of these has happened, or where the service or another customer is at risk. Where the situation allows, we will tell you first and give you the chance to put it right.

Your data

Availability and changes

Fees

Indicative planning figures are published on the Pricing page. They are neither an offer nor a quotation: the binding amount, currency, invoicing and payment terms are the ones in your written agreement.

Warranty

The service is provided “as is” and “as available”. To the extent the law allows, we exclude implied warranties, including fitness for a particular purpose and uninterrupted or error-free operation. We do not warrant that the service will meet a requirement it was not designed for, nor that data originating in your other systems is accurate.

We do warrant that we will provide the service with reasonable skill and care, and that we hold the rights needed to provide it.

Limitation of liability

To the extent the law allows, our total liability arising out of or in connection with the service is limited to the amounts you paid us for the Metrica service in the twelve months before the event giving rise to the claim. Where the service is provided without charge, our liability is limited to the maximum extent permitted by applicable law.

We are not liable for loss of profit, revenue, goodwill or anticipated savings, for business interruption, or for indirect or consequential loss. We are not liable for loss of data that you could have prevented by keeping your own copy as described above.

Nothing in these terms limits liability for fraud, for wilful misconduct, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited.

Ending use

You may stop using the service at any time; ask us to close the deployment. We may end or suspend access for a material breach of these terms, for a security risk, or for non-payment where payment was agreed — telling you why and, where possible, giving you time to remedy it. When a deployment ends we delete its database and session files, normally within 30 days of a written request or when the deployment is removed, whichever comes first.

Changes to these terms

We may update these terms. The version and date above always describe the current text, and material changes are announced inside the application. Continuing to use the service after a change means you accept the updated terms.

Governing law

These terms are governed by the laws of Romania, and disputes are subject to the courts of Romania. If you are established elsewhere in the European Union, mandatory rules of your own country still apply where they cannot be contracted out of — and a separate written agreement may name a different forum.
